1. Agreement
These Terms are an agreement between you and Lotra, an independent project. “Lotra,” “we,” “us,” and “our” refer to the project and the people who operate it.
You accept these Terms and the Privacy Policy only by affirmatively accepting them in Lotra or in a required sign-in flow. If you do not agree, do not accept or use Lotra. Acceptance is recorded by policy version. Material revisions may require a new acceptance before access continues. You consent to electronic records and notices where permitted by law.
2. Eligibility and Discord access
You may use Lotra only if you:
- are at least 18 years old and legally able to enter this agreement;
- may lawfully use the Service where you live and trade;
- are a member of the required Lotra Discord server and satisfy its current Premium-role requirement;
- meet the rules of Discord, each broker, and each connected provider;
- own or are authorized to control every connected brokerage account; and
- are not barred by law, sanctions, court order, or another binding restriction.
Discord decides whether your account has the required membership or role. Lotra may deny, restrict, or end Lotra Cloud access if Discord access, membership, or the required role is unavailable or removed. Discord is a separate service governed by its own terms and privacy policy.
3. Service and license
Lotra is a Windows desktop application that provides local broker login profiles, portfolio and position views, quotes, order review and submission, protected-ticker and liquidation controls, order and portfolio history, local calculations and exports, and optional Lotra Cloud features. Lotra Cloud provides Discord identity verification, entitlement checks, administrator-created buy and sell signal delivery, order coordination, execution-status recording, and related community features. Features vary by release, account, location, provider, and configuration.
Subject to these Terms and valid access, Lotra grants you a limited, revocable, non-exclusive, non-transferable license to install and use Lotra for your personal, lawful use. The software is licensed, not sold. You may not copy, distribute, rent, sublicense, or commercially exploit it except as permitted by applicable law or in written terms from Lotra.
4. Monthly access and Whop billing
If paid Lotra access is offered for the version or feature you use, it is offered as a monthly subscription through Whop. The price, taxes, currency, billing date, renewal terms, and any promotional terms shown at checkout are part of your purchase. By subscribing, you authorize Whop and its payment processors to charge your selected payment method for each monthly billing period until you cancel or the subscription ends.
You may cancel through the Whop subscription-management flow or another cancellation method disclosed at checkout. Cancellation normally stops the next renewal and does not necessarily shorten the current paid month. A failed payment, chargeback, fraud concern, or Whop account restriction may suspend or end paid access.
Lotra may change the subscription price or available plans at any time. A price change will apply only after notice and at the time permitted by applicable law and the checkout or Whop terms; you may cancel before the changed price applies. Refunds, credits, payment disputes, and chargebacks are governed by the checkout terms, the applicable Whop terms, any Lotra refund terms shown at purchase, and applicable law. Nothing here waives a mandatory refund, cancellation, or chargeback right.
5. Accounts and security
You are responsible for your computer, Windows account, Discord account, Whop account, brokerage accounts, credentials, multifactor methods, recovery information, local settings, and enabled accounts. Do not share Lotra access or credentials. Promptly notify the affected provider and request Lotra support if you suspect unauthorized access.
Never send brokerage passwords, authentication codes, session data, full account numbers, or API secrets through Discord or a public support channel. Lotra will not ask you to post them there.
6. Brokerage integrations
Current Lotra integrations include Aries, Public, Fennel, Robinhood, Chase, SoFi, and WellsTrade, but support and capabilities can change. Some integrations use official APIs; others use unofficial, reverse-engineered, or browser-assisted methods. An integration may be unsupported, experimental, rate-limited, blocked, or changed by a broker without notice.
Lotra connects only to brokerage services and accounts you select. You authorize Lotra to use locally provided account and authentication information for the features you select. You remain responsible for broker terms, account restrictions, required disclosures, taxes, fees, margin, settlement, and legal compliance. A broker’s records control if they conflict with Lotra’s display or local history. Lotra is not endorsed by, affiliated with, or an agent of a broker merely because Lotra can connect to it.
7. Orders and automation
Automatic order delivery can submit live orders without a separate confirmation for each order.
Manual orders use the review and confirmation shown in the desktop application. Optional Lotra Cloud signal delivery may coordinate administrator-approved BUY or SELL instructions. An automatic SELL may be scoped to a broker or may attempt to sell the complete matching position across eligible connected accounts and brokers, including fractional shares where the broker supports them.
Turning on automatic order delivery is your standing instruction to process eligible current and future instructions through the enabled accounts until you turn it off, disable signal receiving, sign out, lose access, close Lotra, or the Service stops. Turning it off may prevent new work but may not interrupt a request already in progress. An order accepted by a broker can remain active after Lotra closes.
Signals, previews, quotes, and broker-availability checks are not guarantees that an order will be suitable, accepted, filled, or filled at the displayed price. You must monitor your broker directly and resolve any uncertain order before retrying.
8. Trading and signal risk
You can lose some or all money placed at risk. Risks include volatility, slippage, market-order price movement, stale or incorrect data, partial fills, rejected, duplicate, missed, delayed, or uncertain orders, insufficient buying power, margin consequences, fees, taxes, corporate actions, market closures, outages, software defects, provider changes, and unauthorized access to a computer or brokerage account.
A signal may be prepared or approved by a Lotra administrator or community operator. Signal content is not a promise, endorsement, recommendation, solicitation, or guarantee, and it may not reflect your goals, risk tolerance, tax position, or account restrictions. Do not rely on community messages or estimated profit figures as a prediction of future results.
9. No professional advice or custody
Lotra does not determine whether a trade is suitable for you and does not collect a complete financial profile for that purpose. Nothing in Lotra is personalized legal, tax, accounting, investment, or financial-planning advice. Consult a qualified professional before acting if you need advice.
Lotra does not hold or custody your cash or securities and is not the broker, clearing firm, exchange, or execution venue carrying your account. Nothing in the Service claims a regulatory registration, exemption, fiduciary status, or professional qualification that does not exist. Review FINRA’s auto-trading guidance.
10. Third parties
Lotra depends on services such as Discord, Whop, Cloudflare, Windows, browsers, market-data sources, open-source libraries, and brokerage providers. Their own terms, privacy policies, fees, restrictions, security, and availability apply. Lotra does not control their execution, content, pricing, data practices, or continued support.
11. User obligations and acceptable use
You agree to:
- use only accounts and computers you are authorized to control;
- review enabled accounts, settings, limits, order details, and automation status;
- maintain sufficient funds and understand trading and settlement restrictions;
- comply with law and provider agreements;
- monitor broker confirmations, fills, balances, positions, margin, and statements; and
- stop using Lotra if its behavior or an account result is unclear.
You may not use Lotra for fraud, unauthorized access, market manipulation, unlawful trading, service disruption, credential theft, malicious code, resale, access sharing, or circumvention of access and security controls. Reverse engineering is prohibited except where applicable law expressly permits it despite this restriction.
12. Ownership
Lotra and its licensors retain their rights in the software, its design, text, branding, and service infrastructure. Open-source components remain subject to their licenses. Third-party names and marks belong to their owners. You retain rights in information you provide, subject to the limited permissions needed to operate the Service and the Privacy Policy.
13. Updates, availability, and termination
Lotra may change, suspend, require updates to, or discontinue any part of Lotra for maintenance, security, legal, provider, or business reasons. Continuous availability, compatibility, signal delivery, and broker support are not guaranteed.
You may stop using Lotra and sign out at any time. Lotra may restrict or terminate access for a Terms violation, fraud, security risk, loss of Discord entitlement, nonpayment, chargeback, provider requirement, legal obligation, or discontinuation. Termination does not cancel broker orders, erase lawfully retained records, or make Lotra responsible for local files that remain on your computer. Sign-out removes the Lotra session locally and requests remote revocation when possible; it is not necessarily a deletion request.
14. Privacy
The Privacy Policy describes the information Lotra processes, why it is used, recipients, retention, security, and available privacy rights. It is incorporated into these Terms. If the documents conflict, the Privacy Policy controls for privacy disclosures and these Terms control for use of Lotra.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOTRA IS PROVIDED “AS IS” AND “AS AVAILABLE.” LOTRA AND ITS LICENSORS DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, BROKER COMPATIBILITY, ORDER EXECUTION, ERROR-FREE OPERATION, AND PROFITABILITY.
Nothing in these Terms excludes a warranty, remedy, or consumer right that applicable law does not permit the parties to exclude. Mandatory consumer rights remain unaffected.
16. Limitation of liability
To the maximum extent permitted by law, Lotra, its operators, contractors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; trading losses; lost profits or opportunities; tax consequences; broker fees or restrictions; loss of data or access; or losses caused by a third party, outage, compromised account, or order error.
To the maximum extent permitted by law, their aggregate liability arising from Lotra will not exceed US $100. These limits do not apply where liability cannot legally be limited.
17. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Lotra, its operators, contractors, and licensors from third-party claims and reasonable costs arising from your unlawful use, unauthorized account access, violation of these Terms or a third-party agreement, market abuse, or infringement of another person’s rights.
18. Changes, disputes, and general terms
Lotra may update these Terms when the Service, law, risks, providers, or business practices change. The effective date will be updated, and material changes may require new acceptance before continued access.
These Terms, the Privacy Policy, checkout terms, Whop terms applicable to billing, and written terms expressly incorporated by reference are the complete agreement about Lotra. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Failure to enforce a term is not a waiver. You may not assign this agreement without written consent; Lotra may assign it in connection with a transfer of the Service.
Before filing a dispute, the parties should try in good faith to resolve it privately. Proceedings must be brought in a forum with lawful jurisdiction. These Terms do not require arbitration or waive class-action rights. Mandatory rights in your home jurisdiction remain unaffected.
